Terms of Service

These Terms of Service ("Terms") govern your engagement with Colibri Code LLC ("Company", "we", "us") for custom software and web development services. By signing a proposal, statement of work, or making a payment, you agree to these Terms.

1. Services

We provide custom software development, web application development, business websites, dashboards, internal tools, API integrations, software testing, maintenance, and technical support. All services are delivered remotely via online collaboration tools.

2. Proposals & Agreements

Each project begins with a written proposal or statement of work (SOW) outlining scope, deliverables, timeline, and pricing. Work begins only upon written acceptance and receipt of any required deposit.

3. Payment Terms

Invoices are due within 14 days of issuance unless otherwise stated in the SOW.
We may require a deposit (typically 30–50%) before commencing work.
Late payments may incur a 1.5% monthly interest charge.
We reserve the right to pause or terminate services for invoices overdue by more than 30 days.

4. Scope Changes

Any requests outside the agreed scope will be assessed and, if accepted, quoted separately. We will not begin out-of-scope work without written approval.

5. Client Responsibilities

You agree to provide timely feedback, access to required systems, and accurate project requirements. Delays caused by lack of client response may affect the project timeline without liability to us.

6. Intellectual Property

Upon receipt of full payment, you receive ownership of all custom deliverables created specifically for your project. We retain the right to use open-source components and our pre-existing internal tools and frameworks. We may reference the project in our portfolio unless you request confidentiality in writing.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination of the agreement.

8. Warranties & Liability

We warrant that services will be performed with reasonable care and skill. Our total liability is limited to the amount paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental damages.

9. Termination

Either party may terminate the engagement with 14 days written notice. You are responsible for payment for all work completed up to the termination date.

10. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA. Disputes shall be resolved through good-faith negotiation and, if necessary, binding arbitration in Sheridan County, Wyoming.

Refund Policy

Colibri Code LLC provides custom professional services. Because our work is tailored to each client's specific requirements, our refund policy reflects the bespoke nature of what we deliver.

1. Deposits

Deposits are non-refundable. They compensate us for project planning, resource allocation, and the opportunity cost of reserving capacity for your project.

2. Work in Progress

If you cancel a project after work has begun, you are responsible for payment of all completed work up to the cancellation date. We will provide an itemized summary of completed deliverables.

3. Completed Milestones

Payments made for approved and delivered milestones are non-refundable. Approval may be explicit (written sign-off) or implicit (use of the deliverable in production or absence of feedback within the review window stated in the SOW).

4. Defects & Revisions

If delivered work contains material defects that fall within the agreed scope, we will correct them at no additional charge within the warranty period specified in your SOW (typically 30 days after delivery). Defects caused by client-side changes, third-party services, or requirements outside the original scope are not covered under warranty.

5. Eligibility for Refund

A full or partial refund may be considered only if:

We are unable to deliver the agreed scope due to our own fault, and
A reasonable cure period of 14 days has been provided without resolution.

Approved refunds will be issued within 10 business days to the original payment method.

6. Subscription & Retainer Services

Monthly retainer or maintenance fees are billed in advance and are non-refundable for the current billing period. You may cancel future billing by providing written notice at least 7 days before the next billing date.

7. How to Request a Refund

Submit your request in writing to support@colibricodesoftware.com with your project name, invoice number, and a description of your concern. We aim to respond within 3 business days.
